Specialist, Corporate Secretarial
We are seeking a motivated individual to join our team as an Associate/Senior Associate, Corporate Secretarial. This role offers a unique opportunity to take on a diverse range of responsibilities within a fast-paced and dynamic environment. The successful candidate will be responsible for managing a wide portfolio of legal entities across various jurisdictions/regions and supporting various ad hoc duties.
Role & Responsibilities:
- Coordinate internally with colleagues and stakeholders from various departments and externally with service providers/company secretarial agents to ensure compliance with statutory regulations for the GoGlobal group of companies across various jurisdictions/regions.
- Prepare notices, agendas, resolutions/consents, minutes, and facilitate/coordinate board of directors’ and shareholders’ meetings/AGMs.
- Incorporate and wind up entities and/or branches across various jurisdictions/regions.
- Open bank accounts for newly incorporated entities.
- Ensure compliance with applicable regulatory and statutory requirements, as well as internal policies and procedures.
- Maintain, update, and ensure accuracy of corporate books and statutory records of GoGlobal across various jurisdictions/regions.
- Review service providers’ contracts as required.
- Support and collaborate with internal teams (e.g., tax, finance, operations, sales).
- Independently liaise with regulators, external service providers, and external auditors across jurisdictions/regions.
- Conduct training for statutory directors from time to time.
- Track and manage Power of Attorneys.
- Provide weekly and monthly updates/reports on all corporate secretarial-related projects.
- Populate and maintain the global subsidiary management database.
- Advise on general corporate law matters and implement necessary corporate transactional steps.
- Actively participate and contribute to various legal/corporate secretarial and corporate governance projects.
- Perform other related duties and ad hoc projects as required, which may include administrative duties.
Requirements
- 3-5 years of relevant corporate secretarial and corporate governance experience, preferably within a corporate setting or professional services firm (Law degree or equivalent is an advantage).
- Open to candidates currently pursuing Law or ICSA (or equivalent) coursework.
- Experience with entities across the Americas and other regions/jurisdictions is essential.
- Proficiency in English (speaking, reading, and understanding) is a must.
- Proficiency in another language widely spoken in Latin America (speaking, reading, and writing) is highly valuable (though not mandatory).
- Strong drafting, project management, advisory, analytical, writing, and communication skills.
- Willingness to work on short and long-term department projects.
- Detail-oriented and meticulous.
- Ability to work independently and as an effective member of a team.
- Emphasis on workplace integrity, sound business judgment, credibility, and professional ethics.
- Proficiency in computer skills, including the Microsoft Office suite, Microsoft Teams, Adobe, Foxit Phantom PDF.
- Flexibility to collaborate with colleagues in other countries/regions and accommodate calls and deadlines aligned with colleagues’ time zones.
