Senior Corporate Legal Advisor

What you will be doing:
In this role, you will play a pivotal part in managing the legal dimensions of our multinational operations, with a strong emphasis on providing expert legal advice on commercial contracts and supporting our commercial teams during contract negotiations. Your expertise will also be instrumental in guiding us through various legal landscapes across multiple international jurisdictions. Additionally, you will lead and mentor our legal team, fostering a collaborative and high-performance environment to ensure effective delivery of legal services.
Key Responsibilities:
- Commercial Contracts: Provide comprehensive legal advice on commercial contracts, ensuring robust support for our commercial teams in contract negotiations.
- Legal Advisory: Offer legal counsel on a wide range of topics, including commercial law, labor law, partnerships, international ventures, and corporate finance, tailored to the needs of a multinational corporation.
- Team Leadership: Lead, manage, and coach the legal team, fostering a high-performance culture and ensuring effective delivery of legal services.
- Company Secretarial Duties: Oversee business licenses, Corporate Registrar returns and submissions, Board of Directors documentation, and shareholder relations.
- Compliance: Handle annual filings and ensure adherence to corporate governance requirements.
- Board and Shareholder Matters: Manage board and shareholder matters, including meeting preparation, drafting resolutions, and maintaining communication.
- External Communication: Negotiate and liaise with external parties such as regulators, external counsel, and public authorities on a global scale.
- Documentation: Draft and finalize agreements, contracts, and other legal documents to protect the company’s interests.
- Meeting Preparation: Prepare presentations, notices, resolutions, agendas, and reports for meetings; take and transcribe minutes.
Requirements
What you will bring along:
- BSc degree in Law or J.D. degree; a MA or BSc in Business Administration with a legal qualification is advantageous.
- Minimum of 7 years’ experience in a law firm or internal legal department, with significant exposure to multinational corporations. Proven in-house legal experience is essential.
- Demonstrated ability to lead, manage, and mentor a legal team, fostering a collaborative and high-performance work environment.
- Strong knowledge and experience in managing company secretarial duties, annual filings, and board and shareholder matters. Expertise in corporate transactions, M&A, and a comprehensive understanding of Hong Kong corporate law is preferred.
- Excellent verbal and written communication skills in English and French; proficiency in Mandarin is a plus.
- High standards of accuracy and organization.
- Ability to make independent decisions, especially in handling sensitive and confidential information.
