Finance Controller
Orange Comet, a dynamic gaming startup, is seeking an SEC expert Finance Controller with fundraising experience to join our team.
We are looking for a candidate with a strong sense of ownership, keen attention to detail, expertise in SEC compliance and reporting, and direct fundraising experience (Regulation A). The ideal candidate thrives in a fast-paced environment, values a flat organizational structure, seeks feedback and mentorship, and is eager to establish and enhance operational accounting processes. A passion for gaming is a plus.
This position involves regular interaction with senior-level executives, requiring excellent written and verbal communication skills. The successful candidate will be hands-on, tackling tasks with enthusiasm and efficiency. Previous experience in start-ups or small teams, a growth mindset, high emotional intelligence (EQ), and familiarity with blockchain/Web3 technology are highly desirable. The ideal candidate will excel in process improvement and resource optimization, driving company scale and growth.
The role is fully remote and requires candidates to reside in the West Coast time zone; PDT / PST.
Requirements
Role and Responsibilities
- Operational Accounting:
- Oversee the day-to-day operations of the accounting department, ensuring accuracy and efficiency in financial transactions.
- Analyze financial data to identify areas of improvement in processes and cost reduction opportunities.
- Develop and implement internal controls to safeguard company assets and ensure compliance with regulations and policies.
- Lead the preparation and presentation of financial reports to senior management, providing insights and recommendations for strategic decision-making.
- Serve as the primary liaison with external auditors during financial audits.
- Coordinate audit activities, provide necessary documentation and explanations, and address audit findings and recommendations in a timely manner.
- Financial Reporting and SEC Compliance:
- Reg CF and Reg A and initial filings and ongoing reporting and compliance
- Prepare and present accurate and timely financial statements, including balance sheets, income statements, and cash flow statements, in accordance with regulatory requirements and accounting standards (US GAAP).
- Ensure compliance with all relevant laws, regulations, and reporting requirements, including tax filings and audit processes.
- Implement and maintain internal controls to safeguard company assets and mitigate financial risks.
- Budgeting and Cost Management:
- Work with FP&A on the annual budgeting process.
- Monitor budget performance and manage expenses to optimize resource allocation and achieve financial objectives.
- Identify opportunities for cost savings and efficiency improvements across the organization.
- Equity:
- Manage equity transactions, including stock, options and warrant issuances, repurchases, and stock-based compensation plans.
- Ensure accurate recording and reporting of equity-related transactions in accordance with accounting standards and regulatory requirements.
- Collaborate with legal, finance, and HR departments to develop and implement equity-related policies and procedures, including equity incentive plans and disclosures in financial statements.
- Stakeholder Engagement:
- Collaborate with internal stakeholders, including senior management, board of directors, and department heads, to align financial goals with overall business objectives.
- Communicate financial performance, forecasts, and strategic initiatives to stakeholders, providing insights and recommendations as needed.
- Build and maintain relationships with external stakeholders, including investors, financial institutions, and regulatory agencies.
Qualifications
- Familiarity with Start up landscape; eager to contribute in a fast-paced environment, establishes processes with scalability in mind.
- 7-10 years of experience in financial management, accounting, or related roles, with a focus on growing startup companies.
- Prior ownership and expertise with SEC Compliance and Reporting
- Direct experience with Regulation A
- Equity Management experience, Carta preferred.
- Strong understanding of financial principles, accounting standards, and regulatory requirements.
- Excellent analytical skills, with the ability to interpret financial data, identify trends, and make data-driven decisions.
- Advanced proficiency in financial modeling, forecasting, and budgeting techniques.
- Effective communication and interpersonal skills, with the ability to collaborate with cross-functional teams and external partners.
- Highly organized and detail-oriented, with the ability to manage multiple projects simultaneously and meet deadlines.
- Entrepreneurial mindset, with a passion for innovation, social impact, and driving positive change.
- Strong business acumen, high EQ and great communication.
- Demonstrable technical experience required (Google Suite, MS 365 Suite, ERP systems, etc.); and Rippling, Bill.com, Carta (equity management) experience a plus.
- Bachelor’s degree in Finance, Accounting or related field; Master’s degree or CPA preferred.

Compensation
The base salary range for a full-time position located on the West Coast is $125,000 – $200,000 USD* + equity and benefits.
